Subscription terms

These Subscription Terms (“Terms”) apply between Tvixel ApS, CVR 45665151, Gyvelhøjvej 7, Søballe, 8660 Skanderborg (“Tvixel”, “we”, “us”) and the Customer (“Customer”, “you”) using Tvixel’s subscription services.

By creating an account and/or attaching a payment card, you accept these Subscription Terms.

These Terms constitute a separate agreement and supplement Tvixel’s general Terms of Service. In case of conflict, these Subscription Terms take precedence for matters specifically related to subscriptions and payment.

1. Nature of the Subscription

1.1 Tvixel provides an ongoing software-as-a-service (SaaS) solution billed as a monthly subscription.

1.2 The subscription grants the Customer the right to use Tvixel’s platform for internal customer communication, support, and related functionality in accordance with the chosen plan.

1.3 The subscription continues until terminated in accordance with these Terms.

2. Pricing and Fees

2.1 The standard price for the subscription is DKK 50 per active user per month (excluding VAT), unless otherwise agreed in writing.

2.2 The price is calculated based on the number of active users attached to the Customer’s account.

2.3 Tvixel may adjust prices with at least 30 days’ notice.

3. Billing and Payment Terms

3.1 Billing occurs monthly in arrears on the 1st of each month.

3.2 The invoice is calculated based on the number of active users in the preceding calendar month.

3.3 The Customer must register a valid payment card. Tvixel is authorised to process automatic card charges under these Terms.

3.4 The Customer receives a PDF invoice and may alternatively pay via bank transfer, without limiting Tvixel’s right to automatically charge the stored payment card.

3.5 In case of non-payment, Tvixel may suspend the account, require payment before reactivation, and in cases of repeated non-payment terminate the agreement.

4. Adding and Removing Users

4.1 Users added or removed during a month are not prorated.

4.2 Billing is based solely on the number of active users at the time of invoicing.

5. Free Trial

5.1 Tvixel offers a 30-day free trial.

5.2 No payment information is required during the trial period.

5.3 Upon expiry of the trial, the Customer must actively choose a paid plan and attach a payment card. Failure to do so may result in suspension or deletion of the account.

6. Termination

6.1 The Customer may terminate the subscription at any time through Tvixel’s control panel.

6.2 Termination takes effect at the end of the current billing period.

6.3 The Customer remains liable for the full billing period, even in cases of partial usage.

7. Data After Termination

7.1 Following termination, the account may remain inactive for a limited period according to Tvixel’s practices.

7.2 The Customer may request data export before permanent deletion.

7.3 Data is permanently deleted in accordance with Tvixel’s deletion policy and the Data Processing Agreement (DPA).

8. Changes to Subscription Terms

8.1 Tvixel may amend these Subscription Terms with 30 days’ notice.

8.2 Continued use of the subscription after notice constitutes acceptance.

9. Governing Law and Jurisdiction

9.1 The subscription relationship is governed by Danish law.

9.2 Disputes shall be settled before the Court of Horsens as the court of first instance.
